3. Engagements and Agreements
A binding engagement is formed when both parties have agreed in writing to the scope, deliverables, and price of a specific service. Written confirmation may take the form of an email exchange, a signed scope document, or an equivalent record. The submission of a contact form or initial enquiry does not constitute a binding commitment by either party.
We reserve the right to decline any engagement at our discretion, including where the scope falls outside our area of work or where we determine that a conflict of interest exists.
4. Payment
Service fees are as published on our website or as separately agreed in writing. Fees are quoted in Thai Baht (฿) and are exclusive of any applicable taxes unless otherwise stated. Payment terms are set out in each engagement agreement. We reserve the right to pause or conclude work where agreed payment terms are not met.
Fees reflect the advisory, research, and documentation effort involved in each service. We do not promise specific commercial outcomes or returns as a condition of our fees.
5. Scope of Advisory
Our services are advisory in nature. The information, observations, and materials we provide are based on our experience and the information available to us at the time. They are not a substitute for independent professional advice in regulated areas.
Specifically, clients should be aware of the following:
- We do not provide legal advice. Clients should consult qualified legal practitioners for matters involving contracts, regulatory compliance, or local law.
- We do not provide financial or investment advice. No part of our work constitutes a recommendation to invest, divest, or take any particular financial position.
- Commercial outcomes depend on a wide range of factors outside our control. We make no representations regarding the success or results of expansion activities undertaken by clients.
6. Intellectual Property

Deliverables produced specifically for a client as part of a paid engagement (such as briefing packs, readiness reports, and documented plans) are provided for the client's internal business use. Unless otherwise agreed in writing, Halcyon Reach retains the underlying methodologies, frameworks, and structural approaches used in producing such deliverables.
7. Confidentiality
We treat client information with care and discretion. Business details, operational information, and strategic plans shared with us in the course of an engagement are not disclosed to third parties except as required by law or with the client's consent. Clients are asked to extend the same care to any non-public information we share in the course of our work together.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Halcyon Reach's liability in connection with any engagement or use of this website is limited to the fees paid by the client for the specific service in question. We are not liable for indirect, consequential, or speculative losses arising from reliance on our advisory work or from use of this website.
Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.

Work completed up to the point of termination will be invoiced in accordance with agreed payment terms. Where a client terminates an engagement early, fees for work already undertaken or committed to at the time of notice remain payable.
11. Governing Law
These terms are governed by the laws of Thailand. Any disputes arising in connection with these terms or our services shall be subject to the jurisdiction of the courts of Thailand, unless otherwise agreed in writing between the parties.
